These Terms and Conditions ("Terms") govern your access to and use of Blueprint by Sourcy, a project management platform for architecture and engineering firms operated by Sourcy Inc. ("we," "our," or "us"), accessible at https://blueprintbysourcy.com. By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, you may not use Blueprint by Sourcy.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use Blueprint by Sourcy. By using the platform, you represent and warrant that you meet these requirements. If you are using the platform on behalf of a firm or organization, you represent that you have the authority to bind that entity to these Terms.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

Firm administrators are responsible for managing access within their organization, including inviting users, assigning roles, and revoking access when employees leave the firm. Sourcy Inc. is not liable for actions taken by firm members under a firm administrator's account.

3. Subscription and Payment

Access to Blueprint by Sourcy requires a paid subscription. Subscription fees are billed on a recurring basis (monthly or annually, as selected at signup) and are non-refundable except as required by applicable law. We reserve the right to change our pricing with at least 30 days' notice to active subscribers. Failure to pay subscription fees may result in suspension or termination of your account.

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all applicable fees. You are responsible for ensuring your payment information is accurate and up to date.

4. Acceptable Use

You agree to use Blueprint by Sourcy only for lawful purposes and in accordance with these Terms. You may not use the platform to upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or infringing on the intellectual property rights of others. You may not attempt to gain unauthorized access to any part of the platform, interfere with its operation, or use automated tools to scrape or extract data without our written consent.

5. Intellectual Property

Sourcy Inc. retains all rights, title, and interest in and to Blueprint by Sourcy, including all software, design, trademarks, and content created by us. You retain ownership of all content you upload or create within the platform ("Your Content"). By uploading Your Content, you grant Sourcy Inc. a limited, non-exclusive license to store, display, and process Your Content solely as necessary to provide the platform services to you.

You represent and warrant that you have all rights necessary to upload Your Content and that doing so does not infringe the rights of any third party.

6. Third-Party Integrations

Blueprint by Sourcy offers optional integrations with third-party services including Google Workspace (Google Drive and Google Calendar) and Stripe. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. Sourcy Inc. is not responsible for the availability, accuracy, or conduct of any third-party service.

7. Confidentiality and Data Security

We implement reasonable technical and organizational measures to protect your data. However, you acknowledge that no system is completely secure and that Sourcy Inc. cannot guarantee the absolute security of your information. You are responsible for maintaining appropriate security practices on your end, including using strong passwords and enabling two-factor authentication where available.

Each firm's data is logically segregated within the platform. Firm members may only access data belonging to their own firm. Sourcy Inc. staff may access firm data only as necessary to provide support or comply with legal obligations.

8. Disclaimers

Blueprint by Sourcy is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the platform is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sourcy Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of Blueprint by Sourcy, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sourcy Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of Blueprint by Sourcy, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate the subscription at any time. You may cancel your subscription from within Account Settings. We reserve the right to suspend or terminate your access to Blueprint by Sourcy immediately, without prior notice, if we determine that you have violated these Terms or that your use poses a risk to the platform or other users. Upon termination, your right to access the platform ceases and we will handle your data in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of Blueprint by Sourcy shall be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of Blueprint by Sourcy after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the platform.
